Terms and Conditions Terms and Conditions - Assessors On Court Assessment Pty Ltd (“OCA”) ABN 006098246 Use of this website is conditional upon you agreeing to the terms and conditions below. By clicking on the “I Accept” button below, you acknowledge that you have read and agree to be bound by these terms and conditions (as amended from time to time). 1. Acceptance of terms and conditions 1.1 By clicking on the “I Accept” button below, you acknowledge that you have read and agree to be bound by these terms and conditions, including the Privacy Policy, as amended from time to time (“Terms and Conditions”). 1.2 OCA may, in its absolute discretion, modify or amend these Terms and Conditions from time to time and such modifications or amendments will be binding upon you once displayed on this website. You agree to be bound by these Terms and Conditions as so amended and agree to review the Terms and Conditions prior to using this website. 2. Use of this website 2.1 Subject to clause 2.2, use of this website is free. 2.2 In order to enter a player’s “Assessment Details” (defined in clause 3.1 below), you must purchase credits (“Credits”). One credit will entitle you to enter the Assessment Details of one player. 2.3 Use of this website is conditional upon you complying with these Terms and Conditions at all times. 3. Your obligations 3.1 You hereby acknowledge, agree and warrant that you have: (a) obtained the permission of each player to conduct an on-court assessment (and where the player is under the age of 18, obtained the consent of the player’s parent or guardian on the player’s behalf); (b) obtained the permission and consent of each player (and where the player is under the age of 18, obtained the consent of the player’s parent or guardian on the player’s behalf) to up-load the following details onto this website (referred to in these Terms and Conditions as “Assessment Details”): • player’s name, • the player’s date of birth, • player’s gender, • player’s on-court assessment date, • player’s score; and • the venue at which the player’s on-court assessment took place. (c) obtained the permission and consent of each player (and where the player is under the age of 18, obtained the consent of the player’s parent or guardian on the player’s behalf) to enable OCA to: (i) display the player’s Assessment Details on this website to be accessed by you and the player; (ii) display the player’s Assessment Details on this website in the event that the player qualifies for “Current High Scores”, “Player of Week” and/or any other promotions on this website from time to time; (iii) use all or part of the player’s Assessment Details in addition to the State in which the player resides, to display the best scores for each age group by State and Country for other players to make comparisons; 3.2 You hereby acknowledge, agree and warrant that you will: (a) immediately up-load the Assessment Details once the initial on-court assessment has taken place; (b) provide each player with their user name and password, which are automatically generated by this website; and (c) comply with the terms of this Privacy Policy in so far as it applies to your use of players’ personal information. 4. Termination of access to this website 4.1 OCA may, in its absolute discretion, and without notice or liability to you terminate your access to this website if: (a) you breach these Terms and Conditions; and/or (b) you act in a way that, in the absolute opinion of OCA, is likely to be detrimental to the interests of OCA and/or the operation of this website, other users of this website or the companies/bodies/entities associated or affiliated with this website. 4.2 If OCA terminates your access, OCA may, in its absolute discretion: (a) cease to provide you with access to this website and/or the services offered on this website; (b) remove all or part of the Assessment Details or any other information or data up-loaded by you or related to you or your players. 4.3 You may cease to use this website at any time (other than as a result of termination in accordance with clause 3.1) by sending an e-mail to OCA requesting termination to registration@oncourtassessment.com Upon receipt of your e-mail, any data specifically relating to you will be removed from this website. 4.4 If OCA terminates your access in accordance with clause 3.1 and 3.2, any Credits to your name will be forfeited. 4.5 If you cease to use this website in accordance with clause 3.3, OCA will provide you with a refund of your Credits less any administration costs incurred by OCA in providing such refund. 5. Warranties provided by you 5.1 You warrant and acknowledge that: (a) the information you provide on this web site (from time to time) is: (i) correct, complete and current; (ii) not fraudulent, misleading or deceptive or likely to mislead or deceive; and (iii) free from any programming bugs or computer viruses, faults or errors; (b) you will not use this web site for any illegal, improper or fraudulent purpose; (c) you will not enter Assessment Details that are fake, illegal, fraudulent, or which you know are incorrect; (d) you will not impede the use of this web site by any person; (e) you will maintain secrecy and confidentiality of your and each player’s username and password information generated by this website and you will immediately notify OCA if such passwords have been lost, stolen or compromised in any way; (f) you will not impersonate any other person or allow any other person to impersonate you or make use of your username or password; and (g) all the information contained on this website is exclusively owned by or licensed to OCA. To the extent necessary, you hereby assign to OCA all your intellectual property and other proprietary rights in the Assessment Details. 6. Disclaimer 6.1 You acknowledge that: (a) OCA makes no warranties as to, and does not vet, authorise or endorse the accuracy, currency, suitability or completeness of any information contained on or accessed through this website, including, but not limited to, any content posted, uploaded or transmitted on this website by any person. (“the Information”); (b) OCA takes no responsibility for the currency, accuracy or completeness of the Information, or for programming bugs or computer viruses, faults or errors in this website or the Information therein; (c) OCA may, without notice to you, and at any time, modify or discontinue all or part of the services offered on this website; (d) OCA does not warrant or represent that: (i) any message posted, uploaded or otherwise transmitted to or from this website has not been altered in transmission; (ii) any message posted, uploaded or otherwise transmitted to or form this website will be received by the intended recipient; or (iii) any information (including any file) downloaded or otherwise transmitted to you from this website is free from viruses, faults or errors; (e) whilst OCA will try to ensure that this website is accessible to users, it does not warrant that users or potential users will have continuous access to this website. Entire Agreement These Terms and Conditions, including the Privacy Policy, set out the entire agreement and understanding between you and OCA and supersedes all prior agreements, understandings, representations and warranties, whether express or implied. 12. Miscellaneous 12.1 If any provision of these Terms and Conditions is invalid, illegal or unenforceable in any respect the validity, legality and enforceability of the remaining provisions will not be affected and such invalid, illegal or unenforceable provision is to be severed from these Terms and Conditions. 12.2 You agree to execute all documents and do all acts, matters and things necessary to give full effect to these Terms and Conditions.
